Terms for pricing, delivery, payment, returns and complaints when trading with Particulair.

Pricing and quotes

All quoted prices are indicative and exclusive of VAT unless otherwise stated. Quotes are valid for 30 days from the date of issue unless otherwise agreed in writing. This website (particulair.eu) does not display prices, because the selection and dimensioning of our products and solutions require a dialogue about the process, environment and documentation requirements.

Delivery

We deliver throughout the EU, with a focus on Scandinavia and Poland. Delivery times and conditions are agreed individually and stated in the order confirmation. Shipping costs are provided at the time of quotation. Custom-made products typically have longer production lead times than standard items.

Delivery terms: Delivery is by default DAP at the manufacturer’s location pursuant to Incoterms® 2020, unless otherwise agreed in writing. Risk of loss passes to the buyer at the agreed place of delivery.

Payment

Payment is due upon receipt of invoice unless otherwise agreed. In the event of late payment, Particulair reserves the right to charge interest in accordance with the Danish Late Payment Act (Lov om renter ved forsinket betaling, consolidating Act no. 459 of 13 May 2014, as subsequently amended).

Returns and complaints

Returns require prior written agreement. Custom-made products cannot generally be returned, since they are produced to the customer’s specification. Warranty rights are governed by the Danish Sale of Goods Act. Defects and non-conformities must be reported in writing within a reasonable time of discovery.

Liability

Particulair is not liable for loss of operation, consequential damages or other indirect losses arising from delays, incorrect delivery or product defects. Liability is in all circumstances limited to the invoice value of the relevant order.

Force majeure

Particulair is not liable for delay or failure to perform agreements when this is due to circumstances beyond Particulair’s reasonable control. This includes, among other things, war, terrorism, civil unrest, natural disasters, fire, flooding, pandemic and government-imposed shutdown, sanctions and embargoes, prolonged failure of electricity, internet or transport infrastructure, cyberattacks of significant scope, as well as material supplier failure that could not reasonably have been foreseen or averted.

In the event of force majeure, the delivery time is extended by a period corresponding to the duration of the impediment, and neither party may claim damages for losses connected with the delay. If the impediment lasts more than 90 days, either party may terminate the agreement without liability.

Disputes

Any disputes shall be resolved under Danish law (excluding its conflict of laws rules), with the District Court of Roskilde as the court of jurisdiction.
